The Hidden Costs of Over-Lawyering

When businesses think about the cost of legal services, they usually think only about the legal fees, not about the hidden costs of "over-lawyering". Over-lawyering refers to the excessive or unnecessary legal work that does not add value to the client, but unfortunately increases the costs.

One of the hidden costs of over-lawyering includes the time that is lost in resolving a commercial dispute or in closing a transaction. When lawyers over-lawyer, they tend to complicate matters, add unnecessary complexity to a relatively straightforward problem or transaction, and then spend considerable time in resolving that complexity which is often self-created.

Another cost is the opportunity cost of not closing a transaction or not resolving a dispute earlier. Over-lawyering prolongs the time required to close a transaction or resolve a dispute. This results in a loss of business opportunities or the loss of financial resources which otherwise could have been used for productive purposes.

Over-lawyering can also impact the quality of the client's decision-making. When lawyers over-lawyer, they tend to overwhelm the client with too much information, too many options, and too many risks—most of which are not material to the client's commercial objectives. This creates confusion and delays decision-making.
